It regulates the rights and obligations of the shareholders among themselves and in relation to the company, but also the legal relationships with the management bodies, i.e., the managing directors and board members. Central issues in this context are the influence on the management of the company, the participation in the economic success of the company and the liability towards the company’s creditors.
The law of corporate transactions (mergers & acquisitions, or M&A for short) regulates, as a sub-area of company law, the situations in which a company is to be sold by transferring its individual parts (asset deal) or its company shares (share deal), or to be converted into another legal form, or to be split up or merged with another company.
